BOARD POLICY RESOLUTION No. 4 (“BP 4”)
BOARD
MEETINGS & MEMBER EXCHANGES
WHEREAS Article IV, Section 7 of the Corporate Bylaws empowers the Board
of Directors to adopt Policies not in conflict with the Restated
Articles of Incorporation (“Articles”) or the Corporate Bylaws
(“Bylaws”).
NOW, THEREFORE, BE IT RESOLVED that the Board of Directors (“Board” or
“Directors”) of the Recreation Centers of Sun City, Inc. (“RCSC” or
“Corporation”) in an effort to maintain and carry out its fiduciary
responsibility to its Members, adopts the following Board Policy (“BP”
or “Policies”) on April 24, 2008.
NOW, THEREFORE, BE IT RESOLVED that to minimize inconsistencies,
misunderstandings and misinterpretations inherent in verbal
instructions, rules and regulations, the Board of Directors has
established Board Policies in written form. Such Policies shall be
titled, numbered and indexed for easy reference and use.
NOW, THEREFORE, BE IT RESOLVED that the Restated Articles of
Incorporation and the Corporate Bylaws shall take precedence over Board
Policies and that the following Board Policy on Board Meetings and
Member Exchanges shall provide instruction, direction and guidelines
regarding such and shall remain in effect until such time it is amended
or removed by the Board.
There shall be a Member Exchange without agenda, which will generally be
held the first Monday of the month at 9:00 a.m. in a social hall at the
Lakeview Center, unless notified otherwise by postings in RCSC
facilities and/or published in the RCSC Newsletter

and/or on the RCSC website
(www.sunaz.com),
excluding the month of July when there will be no exchanges held. This
exchange provides Members the opportunity to directly make comments
related to RCSC activities and facilities to the Board and Management.
There shall be a Member Exchange with agenda, which will generally be
held the third Monday of the month at 9:00 a.m. in a social hall at the
Lakeview Center, unless notified otherwise by postings in RCSC
facilities and/or published in the RCSC Newsletter

and/or on the RCSC website
(www.sunaz.com),
excluding the month of July when there will be no exchanges held. At
least five (5) days prior to this meeting, there shall be posted in RCSC
facilities or on the RCSC website
(www.sunaz.com)
one copy of each motion/resolution to be considered by the Board at the
upcoming regular monthly Board meeting. Members can use this
opportunity to make comments on pending motions/resolutions.
The agenda for the regular monthly meeting of the Board of Directors
shall be posted at least seven (7) days prior to the meeting in RCSC
facilities and/or on the RCSC website

and is subject to amendment by action of the Board of Directors.
The regular monthly meetings of the Board of Directors shall be
generally held on the last Thursday of the month at 9:00 a.m. at the
Sundial auditorium, unless notified otherwise by postings in RCSC
facilities or published in the RCSC Newsletter

or on the RCSC website
(www.sunaz.com),
excluding the month of July when there will be no meeting held. These
meetings are open to Members who may be allotted a specified time to
make comments on Corporate matters.
As soon as practicable after a regular monthly Board meeting, the
“Morning After,” which is a brief summary of the preceding Board
meeting, shall be posted on the bulletin board outside the Board Office
at the Lakeview Center and on the RCSC website
(www.sunaz.com).
Minutes of the regular monthly Board meetings and Member Exchanges are
available on the RCSC website
(www.sunaz.com).
A Parliamentarian may be present at each and every Board meeting at the
discretion of the President.
In general, all substantive motions considered by the Board of Directors
at a regular monthly Board meeting shall be identified on
FORM BP:4.
